Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client," "you") and Neuronprismhub ("Company," "we," "us," or "our"), with registered office at Chenghao Lin, No.95, Sec 2, Jieyun Rd, Sanchong District, New Taipei City, 241, Taiwan.

By accessing our website (neuronprismhub.click), requesting an advisory scoping call, or executing a consulting statement of work (SOW), you agree to be bound by these Terms and our governing policies.

2. Professional Scope of Advisory Services

Neuronprismhub provides professional technical consulting, machine learning operations (MLOps) architecture audits, runtime latency reviews, and systems engineering guidance. Specific engagement deliverables, milestone schedules, and fees are defined in individual Statements of Work executed between the Company and the Client.

Our services provide expert technical recommendations, architectural blueprints, and evaluation matrices. Unless explicitly agreed in a separate development agreement, Neuronprismhub does not operate or administer your live production cloud infrastructure or assume operational liability for live machine learning model predictions.

3. Client Responsibilities & Data Access

To facilitate accurate technical audits, Client agrees to provide timely access to necessary non-sensitive code repositories, architecture diagrams, orchestrator manifests, and designated engineering personnel. Client is solely responsible for ensuring that all sample datasets or log telemetry shared with Neuronprismhub are sanitized of proprietary personally identifiable information (PII) or classified customer records.

4. Confidentiality & Non-Disclosure

Both parties agree to treat all non-public technical information, code architectures, business plans, and engagement findings as strictly confidential. Neuronprismhub executes bilateral Non-Disclosure Agreements (NDAs) prior to receiving proprietary codebase access. Confidentiality obligations survive termination of the consulting engagement for a period of five (5) years.

5. Intellectual Property Rights

Pre-existing IP: Each party retains all rights, title, and interest in its pre-existing intellectual property, background software tools, and foundational methodologies.

Engagement Deliverables: Upon receipt of full payment for an advisory engagement, Client receives an irrevocable, perpetual, worldwide, non-exclusive license to utilize, modify, and implement all written audit reports, architectural blueprints, configuration templates, and custom code snippets created specifically for Client during the engagement.

6. Invoicing & Payment Terms

Consulting fees are quoted in United States Dollars (USD) or New Taiwan Dollars (TWD) as indicated on the invoice. Unless otherwise stipulated in the SOW, a 50% non-refundable retainer deposit is due upon contract execution, with the remaining balance due upon milestone delivery of the final architectural blueprint.

7. Limitation of Liability

To the maximum extent permitted under applicable law, Neuronprismhub and its consultants shall not be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of profits, data corruption, hardware downtime, or model prediction inaccuracy arising out of or related to our advisory recommendations. Our total cumulative liability arising from any engagement shall not exceed the total fees paid by Client to Neuronprismhub under the applicable SOW.

8. Governing Law & Jurisdiction

These Terms and all disputes arising out of or related to our services shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to conflict of law principles. The parties agree to submit to the exclusive jurisdiction of the Taiwan Taipei District Court for the resolution of any legal proceeding.

9. Modifications & Inquiries
